    Nasdaq Market Regulation

    Listing Review

    Listing Qualifications

The integrity of The Nasdaq Stock Market is dependent on the consistent and fair application of initial and continued listing standards. It is the responsibility of Nasdaq’s Listing Qualifications (LQ) Team to review and approve companies applying to list securities on Nasdaq. This team is also responsible for designating securities for options eligibility on Nasdaq’s six options markets and monitoring ongoing compliance of listed companies.

    Listing with Nasdaq

Nasdaq has three market tiers: the Nasdaq Global Select Market, the Nasdaq Global Market, and the Nasdaq Capital Market. Applicants must satisfy certain financial, liquidity and corporate governance requirements to be approved for listing on any of these market tiers. For detailed information on the listing standards for each tier, please consult the Initial Listing Guide. Listing application forms and related listing materials, including a comprehensive list of FAQs are available on the Listing Center.

    Preliminary Listing Eligibility

A company can seek a preliminary listing eligibility review by the Listing Qualifications team prior to applying to list on a Nasdaq exchange. Upon request, LQ staff will review the company’s public filings to determine if it meets the quantitative and qualitative listing requirements and whether any corporate governance or regulatory issues raised by the company would prohibit Nasdaq from approving the listing.

    Continued Listing Requirements

Nasdaq’s quantitative listing requirements generally set higher thresholds for initial listing than for continued listing. Please consult the Continued Listing Guide for information about continued listing standards, disclosure and notification requirements, and fees. The Nasdaq Listing Center also provides a wealth of resources to facilitate company compliance with Nasdaq’s ongoing listing requirements, including a comprehensive list of FAQs.

    Listing on Nasdaq

The Nasdaq Listing Center makes it easy for companies to safely and securely submit listing applications and notification forms electronically.

    About the Listing Center

The Nasdaq Listing Center is our secure online document and information portal. It allows registered users to submit listing applications and required forms electronically. Since introducing the site in 2009, companies and their representatives have submitted more than 150,000 applications and forms using our online system.

All the forms required for listing, including the Listing Application, Listing Agreement and Corporate Governance Certification, can be completed electronically through the Listing Center. The Listing Center streamlines the preparation of listing applications and forms, making the listing review and approval process more efficient by pre-populating certain fields, allowing companies to upload supporting documents, and sign forms electronically. And since we can collect much of the information needed to verify compliance from publicly available sources, we have minimized the documentation you need to provide Nasdaq.

For your convenience, you can review applications and forms in preview mode. This way, you can gather the information you need without creating an account or logging in.

For more information on the listing process, initial listing requirements and fees, please take a few minutes to view our frequently asked questions and Initial Listing Guide or call Listing Qualifications at +1-301-978-8008.

The Listing Center also houses our Reference Library, which includes an extensive library of searchable frequently asked questions, staff interpretations and Listing Council decisions.
