Repligen Corp Completes Acquisition Of BioLife Solutions

(RTTNews) - Repligen Corp. (RGEN), a life sciences company, announced that it has completed the previously announced acquisition of BioLife Solutions, Inc. (BLFS), a developer and supplier of cell processing tools and services for the cell and gene therapy market.

In July 2026, the company announced the original transaction at an enterprise value of approximately $1.5 billion, comprising 64% Repligen stock and 36% cash.

BioLife's biopreservation media portfolio, led by CryoStor, supports 18 commercially approved therapies and the majority of U.S. commercially sponsored cell-based therapy trials, Repligen said.

The combination is expected to give BioLife access to Repligen's broader global presence, particularly in Asia Pacific, while providing Repligen with BioLife's established customer relationships.

Under the transaction, BioLife stockholders received $11.25 in cash and 0.1442 Repligen shares for each BioLife share held, with cash paid in lieu of fractional shares.

The transaction is expected to boost Repligen's revenue growth and adjusted margins and be accretive to adjusted earnings per share by at least $0.05 in the first year and $0.25 in the second year.

Repligen plans to provide additional details on the transaction's expected impact on its 2026 financial outlook during its upcoming third-quarter earnings call.

Perella Weinberg Partners LP and Goldman Sachs & Co. LLC served as financial advisors, and Goodwin Procter LLP served as legal counsel to Repligen.
