Have Generac Holdings Inc. (NYSE:GNRC) Insiders Been Selling Their Stock?

Anyone interested in Generac Holdings Inc. (NYSE:GNRC) should probably be aware that the President, Aaron Jagdfeld, recently divested US$163k worth of shares in the company, at an average price of US$408 each. However, the silver lining is that the sale only reduced their total holding by 0.06%, so we're hesitant to read anything much into it, on its own.

The Last 12 Months Of Insider Transactions At Generac Holdings

The Chief Marketing Officer, Russell Minick, made the biggest insider sale in the last 12 months. That single transaction was for US$2.2m worth of shares at a price of US$352 each. That means that even when the share price was below the current price of US$405, an insider wanted to cash in some shares. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 45% of Russell Minick's holding.

In the last year Generac Holdings insiders didn't buy any company stock. The chart below shows insider transactions (by companies and individuals) over the last year. If you click on the chart, you can see all the individual transactions, including the share price, individual, and the date!

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. It's great to see that Generac Holdings insiders own 1.5% of the company, worth about US$396m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

What Might The Insider Transactions At Generac Holdings Tell Us?

But since Generac Holdings is profitable and growing, we're not too worried by this. The company boasts high insider ownership, but we're a little hesitant, given the history of share sales. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company.
